Terms of Service

1. Scope

These terms apply to all services of EA Management Consulting LLC (“EA Management Consulting”) to clients (“Client”), in particular recruitment consulting, recruiting and placement. Deviating terms of the Client only apply if EA Management Consulting accepts them in writing. These terms also apply to future services.

2. Services and candidate proposals

EA Management Consulting provides consulting and placement services to the best of its knowledge and belief. Candidate information is based on details provided by candidates or third parties. No guarantee is given for its accuracy, suitability or success.

3. Fee

3.1 Permanent placement: For the successful placement into a permanent or fixed-term employment relationship, the Client owes a fee of 33 % of the first gross annual target salary (including fixed and agreed variable components). The minimum fee is EUR 6,000 net.

3.2 Entitlement: The fee becomes due when an employment or service contract is signed between the Client (or an affiliated company) and the candidate, also if the contract is concluded within 12 months of the first candidate proposal.

3.3 Multiple use: If the Client introduces the candidate to a third party and a contract is concluded there, the Client owes the fee.

4. Due date and payment

The fee is due on signing of the contract. EA Management Consulting issues an invoice payable within 7 days net of the invoice date. Any sales tax or VAT is shown in accordance with the applicable law.

5. Client’s duty to notify

The Client informs EA Management Consulting in writing without delay, at the latest within 7 days of signing, about the hiring of a proposed candidate and provides a copy of the employment contract on request to calculate the fee.

6. Confidentiality and candidate protection

All information about candidates is confidential. Disclosure to third parties is only permitted with the prior consent of EA Management Consulting. If information is disclosed or used without authorization and this leads to a hire, the fee under section 3 is deemed earned.

7. Ending an assignment

The Client may end the assignment at any time. As EA Management Consulting works exclusively success-based on direct placement, no fee is charged if the assignment ends without a hire, unless expressly agreed otherwise in writing. A fee already earned under section 3 remains unaffected.

8. Replacement

If the Client wishes a replacement (for example after the placed candidate resigns), a service fee of 5 % of the original fee is charged. It is payable in advance and is the condition for EA Management Consulting to start searching for a replacement candidate. Success is not owed.

9. Liability

EA Management Consulting is liable without limitation for intent and gross negligence. In cases of simple negligence it is only liable for damage resulting from the breach of essential contractual obligations, limited to the typically foreseeable damage. Indirect damage, loss of profit and consequential damage are excluded.

10. Data protection

Personal data is processed only for the purpose of performing the contract and placement. Details are set out in the privacy policy on this website. Data is only used for marketing with consent, which can be withdrawn at any time.

11. Governing law and venue

These terms are governed by the laws of the State of Wyoming, USA. Exclusive place of jurisdiction is Casper, Wyoming, USA.

12. Final provisions

Changes and additions must be made in writing. Should any provision of these terms be or become invalid, the validity of the remaining provisions remains unaffected.
